Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you (and, where you're acting on behalf of a business, that business) and Cashflow ("Cashflow", "we", "us"). By creating an account, accessing, or using Cashflow, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the service.

2. What Cashflow is

Cashflow is a multi-tenant business-management platform for sales documents (quotations, sales orders, proforma invoices, invoices, receipts, credit notes and retainer/recurring invoices), payments, purchases, accounting, banking, inventory, point of sale, payroll, e-invoicing, and a developer API, offered on a subscription basis. We may add, change or retire features at any time, including features gated to specific subscription plans.

3. Accounts, businesses & roles

You must provide accurate information to register and keep your login credentials confidential — you're responsible for all activity under your account. A single Cashflow account may belong to one or more "businesses" (your own tenants within the platform); the person who creates a business is its Owner and controls who else can access it and with what role. You're responsible for managing who has access to your business and for anything your team members do with the access you grant them.

4. Subscriptions, trials & billing

New businesses start on a free trial. After the trial (or on the free Starter plan, where offered), continued or expanded use requires an active paid subscription. Plans may cap the number of businesses, users, or documents you can create, and may gate specific modules (e.g. inventory, POS, payroll, the report builder, e-invoicing). Paid subscriptions renew automatically for successive billing periods unless cancelled before renewal. Fees are charged in advance and, except where required by law or stated otherwise, are non-refundable. We may change our prices with reasonable advance notice; continued use after a price change takes effect means you accept the new price.

Payments are processed by third-party payment gateways (currently Paystack and Flutterwave). We don't store your full card details — that's handled by the gateway, subject to its own terms.

5. Acceptable use

You agree not to:

• Use Cashflow for any unlawful purpose, or to issue fraudulent or misleading documents, invoices or receipts;
• Attempt to gain unauthorized access to another business's data, or to any part of the platform or its infrastructure;
• Interfere with or disrupt the service, probe or scan it for vulnerabilities without authorization, or circumvent rate limits or usage caps;
• Reverse-engineer, resell, sublicense, or white-label the platform itself without our written permission (this doesn't affect your right to issue documents to your own customers, or to use the Developer API for your own integrations);
• Upload content you don't have the right to upload, or that infringes someone else's intellectual property or privacy;
• Use the Developer API in a way that abuses rate limits or the underlying gateways, banking, or e-invoicing integrations.

6. Your data & content

You (or your business) own the business, customer, financial and other data you put into Cashflow ("your content"). You grant us the license we need to host, process, back up and display your content solely to provide and support the service. We don't sell your content, and we don't use it to train third-party AI models. We process personal data in accordance with the Nigeria Data Protection Regulation (NDPR) and the Nigeria Data Protection Act (NDPA) 2023 — see our Privacy Policy for the full details of how we handle personal data and your rights over it.

You're responsible for the accuracy of the data you enter — including amounts, tax figures and anything submitted through the e-invoicing integration — and for complying with any tax, accounting or other regulatory obligations that apply to your business. Cashflow is a tool to help you manage that work; it isn't tax, legal or accounting advice.

7. Third-party services

Cashflow integrates with third-party services to function — including payment gateways (Paystack, Flutterwave), media storage, email delivery, and Nigeria's e-invoicing (NRS) system. Your use of those integrations is also subject to that provider's own terms, and we're not responsible for their availability, errors, or how they handle data once it leaves our systems.

8. Service availability & changes

We aim to keep Cashflow available and reliable, but we don't guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify, suspend or discontinue any part of the service, with notice where reasonably practicable for material changes affecting paid plans.

9. Suspension & termination

You may stop using Cashflow and cancel your subscription at any time from your billing settings. We may suspend or terminate access to your account or a business if you materially breach these Terms, if required by law, or to protect the security or integrity of the platform or other users. Where practical, we'll give notice first. On termination, we may retain your data for a reasonable period to allow export or as required by law, after which it may be deleted in line with our data retention practices.

10. Disclaimers & limitation of liability

Cashflow is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. To the maximum extent permitted by applicable law, Cashflow and its team won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, arising out of or relating to your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the 12 months before the claim arose. Nothing in these Terms limits liability that can't be limited under applicable law.

11. Indemnification

You agree to indemnify and hold Cashflow harmless from any claim, loss or expense (including reasonable legal fees) arising from your use of the service in violation of these Terms or applicable law, or from content or documents you create through the platform.

12. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of Cashflow will be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Changes to these terms

We may update these Terms from time to time. For material changes, we'll give reasonable notice (for example, by email or an in-app notice) before they take effect. Continuing to use Cashflow after a change takes effect means you accept the updated Terms.
